Welcome to SellyGenie. These Terms of Service ("Terms") govern your access to and use of the SellyGenie website, Chrome Extension, and AI-powered product description generation services (collectively, the "Service"). Please read these Terms carefully before using the Service.

By creating an account, installing our Chrome Extension, or using any part of the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Definitions

In these Terms:

"SellyGenie," "we," "us," or "our" refers to the operator of the SellyGenie service.
"User," "you," or "your" refers to any individual or entity that accesses or uses the Service.
"Service" refers to the SellyGenie website (sellygenie.com), Chrome Extension, APIs, and all related features.
"Generated Content" refers to any text, descriptions, or other output created by our AI systems based on your inputs.
"User Content" refers to images, voice recordings, text descriptions, and other materials you provide to the Service.
"Credits" refers to the usage units required to generate product descriptions.
"Subscription" refers to recurring payment plans that provide credits and features.

2. Eligibility

To use the Service, you must:

Be at least 18 years old, or the age of legal majority in your jurisdiction
Have the legal capacity to enter into a binding agreement
Not be prohibited from using the Service under applicable laws
Provide accurate and complete registration information

If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

3.1 Account Creation

You may create an account using:

Google OAuth authentication
Apple OAuth authentication
Email with one-time password (OTP)

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

3.2 Account Security

You must:

Not share your account credentials with others
Notify us immediately of any unauthorized access
Use strong, unique passwords if applicable
Enable two-factor authentication when available

We are not liable for losses caused by unauthorized account access resulting from your failure to protect your credentials.

3.3 One Account Per User

Each user may maintain only one account. Creating multiple accounts to circumvent usage limits, abuse free credits, or for any fraudulent purpose is strictly prohibited and grounds for immediate termination.

4. Description of Service

4.1 Core Functionality

SellyGenie is an AI-powered tool that helps users create professional product descriptions for online marketplaces. The Service:

Accepts product images (photos of items you wish to sell)
Accepts product descriptions via text input or voice recording
Processes inputs using artificial intelligence
Generates marketplace-optimized product descriptions
Supports multiple marketplace formats (Etsy, eBay, Vinted, Bazos.cz, and others)

4.2 Chrome Extension

Our Chrome Extension provides additional functionality:

Direct integration with supported marketplace websites
Automatic form field detection and autofill
One-click description insertion
Seamless authentication with your SellyGenie account

4.3 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to:

Scheduled maintenance (we will provide advance notice when possible)
Emergency repairs or security updates
Factors beyond our control (internet outages, third-party service failures)

5. Credits and Usage

5.1 Credit System

The Service operates on a credit-based system:

Each product description generation consumes one credit
Credits are required for both text and voice-based generations
Free users receive a limited number of bonus credits upon registration

5.2 Credit Allocation

Credits are allocated based on your subscription plan:

Free tier: Limited bonus credits for new users
Monthly subscription: Credits refresh each billing cycle
Yearly subscription: Credits refresh each billing cycle with additional savings
Credit packs: One-time purchase credits that do not expire

5.3 Credit Expiration

Subscription credits reset at each billing cycle; unused credits do not roll over
Purchased credit packs do not expire while your account remains active
Upon account termination, all credits are forfeited

6. Subscription and Payments

6.1 Payment Processing

All payments are processed securely through Stripe, a PCI DSS-compliant payment processor. We do not store your complete payment card information on our servers.

6.2 Subscription Plans

We offer:

Monthly subscriptions: Billed monthly, can be canceled anytime
Yearly subscriptions: Billed annually at a discounted rate
Credit packs: One-time purchases for additional credits

6.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless canceled. You will be charged the then-current subscription rate. We will notify you of any price changes before they take effect.

6.4 Price Changes

We reserve the right to modify subscription prices. For existing subscribers:

Price increases take effect at the next renewal period
We will provide at least 30 days' notice of price changes
You may cancel before the new price takes effect

6.5 Taxes

Prices do not include applicable taxes. You are responsible for all taxes associated with your use of the Service, except for taxes based on our net income.

7. Refund Policy

7.1 Subscription Refunds

Monthly subscriptions: Generally non-refundable. You may cancel at any time, and your access continues until the end of the current billing period.
Yearly subscriptions: Refund requests within the first 14 days of initial purchase may be considered on a case-by-case basis. After 14 days, subscriptions are non-refundable.

7.2 Credit Pack Refunds

Purchased credit packs are non-refundable once credits have been used. Unused credit packs may be refunded within 14 days of purchase at our discretion.

7.3 Exceptions

We may, at our sole discretion, provide refunds in cases of:

Technical failures that prevented service use
Duplicate charges or billing errors
Other exceptional circumstances

7.4 Refund Process

To request a refund, contact us at support@sellygenie.com with your account details and reason for the request. Refunds are processed within 5-10 business days.

8. Acceptable Use Policy

8.1 Permitted Use

You may use the Service only for:

Creating product descriptions for items you own or have authority to sell
Personal or commercial marketplace selling activities
Lawful purposes in compliance with all applicable laws

8.2 Prohibited Activities

You must not:

Content Restrictions:

Generate descriptions for illegal items (weapons, drugs, stolen goods)
Create content promoting violence, hate speech, or discrimination
Generate descriptions for counterfeit or trademark-infringing products
Create adult or sexually explicit content
Generate content that infringes on others' intellectual property rights

Technical Restrictions:

Attempt to circumvent usage limits or credit systems
Use automated scripts, bots, or scrapers to access the Service
Reverse engineer, decompile, or attempt to extract source code
Interfere with or disrupt the Service or its infrastructure
Access accounts belonging to other users

Business Restrictions:

Resell or redistribute the Service without authorization
Use the Service to build a competing product
Share account credentials or allow unauthorized access

8.3 Enforcement

Violation of this policy may result in:

Warning and content removal
Temporary suspension of your account
Permanent termination without refund
Legal action where appropriate

9. User Content

9.1 Your Ownership

You retain all rights to User Content you provide to the Service, including:

Product images you upload
Voice recordings you create
Text descriptions you input

9.2 License to Us

By using the Service, you grant us a limited, non-exclusive license to:

Process your User Content to provide the Service
Store your User Content as necessary for Service functionality
Use anonymized, aggregated data to improve our AI models

We do not claim ownership of your User Content and will not use your images or descriptions for marketing without your consent.

9.3 Content Responsibility

You are solely responsible for:

Ensuring you have rights to all User Content you provide
The accuracy of information in your product descriptions
Compliance with marketplace terms where you list products

10. Generated Content

10.1 AI Limitations Disclaimer

IMPORTANT: Generated Content is created by artificial intelligence and has inherent limitations:

Accuracy: AI may produce factually incorrect or misleading information
Completeness: Generated descriptions may omit important product details
Appropriateness: AI may occasionally produce content unsuitable for certain contexts
Marketplace Compliance: Generated content may not meet all marketplace-specific requirements

10.2 Your Responsibility

You are responsible for:

Reviewing all Generated Content before use
Verifying accuracy of product specifications, measurements, and details
Editing content to ensure compliance with marketplace rules
Ensuring descriptions do not make false or misleading claims

10.3 No Guarantee of Results

We do not guarantee that Generated Content will:

Result in sales or conversions
Be accepted by all marketplaces
Be free from errors or omissions
Meet your specific requirements

10.4 License to Generated Content

You receive a non-exclusive, perpetual license to use Generated Content for your marketplace listings. You may modify, adapt, and use Generated Content for commercial purposes.

11. Intellectual Property

11.1 Our Intellectual Property

The Service, including its software, AI models, user interface, branding, and documentation, is our intellectual property or that of our licensors. These Terms do not grant you any rights to our intellectual property except as necessary to use the Service.

11.2 Trademarks

"SellyGenie," our logo, and related marks are our trademarks. You may not use these marks without our prior written consent.

11.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, we may use this feedback without obligation to you.

12. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We collect data necessary to provide the Service
We process data in accordance with GDPR and applicable privacy laws
We do not sell your personal data to third parties
Voice recordings are deleted within 30 days of processing

13. Chrome Extension Terms

13.1 Extension Permissions

Our Chrome Extension requires certain browser permissions to function:

Active tab: To detect marketplace forms and insert descriptions
Storage: To save your authentication and preferences
Host permissions: To communicate with our API and supported marketplaces

13.2 Data Collection

The Extension collects:

Installation ID (anonymous UUID for abuse prevention)
Current marketplace page URL (to provide relevant functionality)
Form field structure (no actual form data is transmitted)

13.3 Marketplace Interaction

The Extension interacts with third-party marketplace websites. We are not affiliated with these marketplaces, and their terms of service apply to your use of their platforms.

14. Third-Party Services

14.1 Integrated Services

The Service integrates with:

OpenAI/OpenRouter: For AI text generation and voice transcription
Stripe: For payment processing
Google/Apple: For OAuth authentication

14.2 Third-Party Terms

Your use of integrated services is subject to their respective terms and privacy policies. We are not responsible for third-party services' availability, security, or practices.

15. Limitation of Liability

15.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OR RELIABILITY OF RESULTS

15.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE
DAMAGES RESULTING FROM GENERATED CONTENT

15.3 Maximum Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15.4 Exceptions

Some jurisdictions do not allow limitation of certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless SellyGenie and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
User Content you provide
Your use of Generated Content
Your marketplace listings created using the Service

17. Account Termination

17.1 Termination by You

You may terminate your account at any time by:

Canceling your subscription through Account Settings
Requesting account deletion via support@sellygenie.com

Upon termination:

Your subscription ends at the current billing period's end
Unused credits are forfeited
Your data is handled according to our Privacy Policy

17.2 Termination by Us

We may suspend or terminate your account:

For violation of these Terms
For fraudulent or illegal activity
For extended periods of inactivity (with notice)
If required by law or to protect the Service

17.3 Effect of Termination

Upon termination:

Your right to use the Service ends immediately
We may delete your User Content and Generated Content
Provisions that should survive termination remain in effect (including Sections 9, 10, 11, 15, 16, and 19)

18. Modifications to Terms

18.1 Changes

We may modify these Terms at any time. When we make material changes:

We will update the "Last Updated" date
We will notify you via email or Service notification
We will provide at least 30 days' notice for material changes

18.2 Continued Use

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to changes, you must stop using the Service before they take effect.

19. Governing Law and Disputes

19.1 Governing Law

These Terms are governed by the laws of the Czech Republic, without regard to conflict of law principles.

19.2 Dispute Resolution

For any dispute arising from these Terms or the Service:

Informal Resolution: Contact us first at support@sellygenie.com. We will attempt to resolve disputes informally within 30 days.
Mediation: If informal resolution fails, disputes may be submitted to mediation before the Czech Chamber of Commerce.
Jurisdiction: Any legal proceedings shall be brought exclusively in the courts of the Czech Republic.

19.3 EU Consumer Rights

If you are a consumer in the European Union, you may also have recourse to the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

20. General Provisions

20.1 Entire Agreement

These Terms, together with our Privacy Policy and any other referenced documents, constitute the entire agreement between you and SellyGenie regarding the Service.

20.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

20.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

20.4 Assignment

You may not assign or transfer these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

20.5 Force Majeure

We are not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, government actions, or internet or infrastructure failures.

20.6 Language

These Terms are written in English. Translations are provided for convenience only. In case of conflict, the English version prevails.
